Full text:
Whereas the Officers and Stockholders of the Brigham City Mercantile and Manufacturing Association have agreed to reduce the paid up capital stock of said corporation one half, and that the New Stock, while only one half the amount of the Old Stock, shall represent the same property and assets represented by it, and such proceedings being authorized by law, we the undersigned, stockholders in said Corporation, hereby agree to accept in lieu of, and as full discharge for our Old Stock in said coporation, fifty per cent of the amount thereof, or of the amount standing to our credit of the stock-book of the Corporation, in New Stock, and in Consideration of the receipt of said fifty per cent of new stock, and of the mutual agreement of said stockholders to reduce said stock one half, as aforesaid, made pursuent to the statute of the Territory of Utah, in such cases made and provided . We and each of us severally, bind ourselves, and our heirs, executors, administrators, and assigns, to each other, and to said Corporation, not to assert any claims in the future against said Corporation, or the Stockholders thereof, on account, or because of, said reduction, in the amount of said capitol stock.
